These Terms of Service (“Terms”) govern your use of the website at messengerstudios.co and any services provided by Messenger Studios LLC (“Messenger Studios,” “we,” “us,” or “our”), including our SMS program. By using our site, services, or SMS program, you agree to these Terms.

Our services

Messenger Studios is a Nashville-based web and AI agency. We design and build custom websites, AI-powered lead-response systems, and related digital infrastructure for small businesses. Specific deliverables, fees, timelines, and ownership terms for any engagement are governed by a separate written proposal or statement of work signed by both parties.

SMS service

Messenger Studios operates an SMS messaging program used to respond to inquiries, confirm appointments, deliver project updates, and — where you have opted in — send occasional service-related messages. Participation is entirely voluntary.

• Opt-in: You opt in by providing your mobile number through a web form, text reply, or by giving it directly to us with the understanding that we may contact you by SMS.
• Opt-out (STOP): Reply STOP to any message at any time to unsubscribe. You will receive a one-time confirmation that you have been unsubscribed, after which no further messages will be sent from that program.
• Help (HELP): Reply HELP to any message for support information, or contact us at josh@messengerstudios.co.
• Message frequency: Message frequency varies based on your interaction with us. You will typically receive no more than a few messages per month.
• Message and data rates may apply. Standard messaging rates from your wireless carrier apply to every message sent or received.
• Supported carriers: Compatible with major U.S. carriers including AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, Cricket, MetroPCS, U.S. Cellular, Virgin Mobile, and others.

Carrier liability disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your network operator and is not guaranteed. Neither Messenger Studios nor any participating mobile carrier is responsible for any delay in the receipt of any SMS messages, as delivery is subject to effective transmission from your network operator.

Use of the site

You agree to use our website and services only for lawful purposes. You agree not to:

• Attempt to gain unauthorized access to any part of the site or systems.
• Interfere with or disrupt the operation of the site, including through automated scraping, denial-of-service attempts, or malicious code.
• Use the site or our SMS service to send spam, harassing content, or content that violates any law.
• Reproduce, copy, sell, or exploit any portion of the site or services without our express written permission.

Intellectual property

The website, including its design, text, graphics, logos, and code, is owned by Messenger Studios or its licensors and is protected by U.S. and international intellectual property laws. Work product delivered under a signed engagement is governed by the ownership terms of that engagement; in the absence of those terms, Messenger Studios retains all rights.

Third-party services

Our site and services may link to or integrate with third-party tools (e.g., scheduling, payment, hosting, SMS delivery). We are not responsible for the content, policies, or practices of any third party, and your use of those services is governed by their own terms and privacy policies.

Disclaimers

The site and any free content or tools are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the maximum extent permitted by law, Messenger Studios, its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the site, the SMS program, or our services. Our total liability for any claim relating to the site or any free service is limited to one hundred U.S. dollars ($100). Liability for paid engagements is governed by the applicable signed agreement.

Indemnification

You agree to indemnify and hold Messenger Studios harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the site or services, your violation of these Terms, or your violation of any rights of a third party.

Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law provisions. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to the jurisdiction of those courts.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date at the top of this page. Continued use of the site or services after changes take effect constitutes acceptance of the updated Terms.
